Jeff Kendrew, Managing Director of BBIL and Chief Executive Officer
Mr Kendrew was appointed to the office of Managing Director of BBIL on 12 November 2008.
Mr Kendrew was appointed as BBI’s acting CEO in June 2007, an appointment which was made permanent in October 2007. From August 2005 until his appointment as acting CEO, Mr Kendrew served as BBI’s Chief Operating Officer – Energy. In this role Mr Kendrew had supported the acquisition team for a number of BBI’s assets and was responsible for their integration.
Prior to joining BBI, Mr Kendrew was employed at Powerco, as General Manager, Corporate Development with responsibility for mergers, acquisitions and other strategic initiatives. Prior to that, Mr Kendrew was the General Manager, Operations for Wairarapa Electricity Limited.
Mr Kendrew is a graduate member of Australian Institute of Company Directors and a member of Electrical Engineers NZ. He also holds a Bachelor of Engineering (Electrical) from the University of Canterbury in NZ and an MBA (Technology Management) from Deakin University. |

Jonathon Sellar, Chief Financial Officer
Mr Sellar joined Prime Infrastructure in November 2002. From 1 July 2005, Mr Sellar was re-employed by BBIM firstly as the BBI Group Financial Controller before assuming the role of Chief Financial Officer in September 2005 under the management agreements between BBI and BBIM.
His most recent role prior to joining BBI was Project Controller of InterGen’s Australian power stations. Prior to this role at InterGen, Mr Sellar was Senior Audit Manager (Energy and Mining) at PricewaterhouseCoopers Brisbane which included a two and a half year secondment to the UK.
Mr Sellar holds a Bachelor of Business (Accountancy) from the Queensland University of Technology and has been a member of the Institute of Chartered Accountants in Australia since 1996. |

Michael Cummings, Chief Operating Officer – Energy Transmission and Distribution
Mr Cummings was appointed Chief Operating Officer – Energy Transmission and Distribution in February 2008. Prior to joining BBI, Mr Cummings was Divisional CEO, Gas for Vector Limited, an energy infrastructure company in NZ, where he was responsible for all aspects of the company’s gas business including processing, transmission, distribution and sales.
He was also Chairman of the Gas Association of NZ. Mr Cummings has significant international experience in the energy industry having held several senior commercial, regulatory and technical roles. He has also successfully managed a number of integration and expansion projects.
Mr Cummings holds a Bachelor of Engineering with honours from the University of Edinburgh in Scotland and is a Graduate of the Strategic Leadership Program at Millbrook, NZ. Mr Cummings is a member of the Institution of Professional Engineers NZ and Australian Institute of Company Directors.

Russell Smith, Chief Operating Officer - Transport
Mr Smith was appointed Chief Operating Officer – Transport in November 2008. Prior to joining BBI, Mr Smith was Head of European Ports for Babcock & Brown and was responsible for the acquisition of port assets throughout Europe, including several which have become part of BBI’s portfolio.
Prior to joining Babcock & Brown, Mr Smith was the Managing Director and CEO of a number of joint venture companies and his responsibilities included the provision of business planning, management consulting and M&A advisory services for the transport industry worldwide.
Mr Smith holds a Bachelor of Engineering (Civil) with honours from the University of Queensland, an MBA from Deakin University and is a Certified Practising Engineer. He is a member of the Association of Professional Engineers, Scientists and Managers, a member of the Institution of Engineers, Australia and a member of the Civil College, Institution of Engineers, Australia.

Michael Ryan, General Counsel and Company Secretary
Mr Ryan joined Prime Infrastructure in April 2004. From 1 July 2005, Mr Ryan was re-employed by BBIM and remains in the role of BBI General Counsel and Company Secretary under the management agreements between BBI and BBIM.
Prior to joining BBI, Mr Ryan worked as a lawyer in the corporate group of the Australian based international law firm Freehills. In private practice, Mr Ryan advised on mergers and acquisitions, as well as on general corporate and commercial law issues, with an industry focus on energy, resources and infrastructure.
Mr Ryan is admitted as a solicitor of the Supreme Courts of Queensland and New South Wales. He holds a Bachelor of International Business and a Bachelor of Laws with first class honours from Griffith University as well as a Graduate Diploma in Applied Finance from the entity previously known as the Securities Institute of Australia. |

Toby Beaglehole, General Manager Corporate Development
Mr Beaglehole joined Prime Infrastructure in November 2004. From 1 July 2005, Mr Beaglehole was re-employed by BBIM and remains responsible for overseeing BBI’s risk and compliance program under the management agreements between BBI and BBIM.
Mr Beaglehole joined BBI from Meridian Energy in November 2004. With over 10 years’ experience in risk and audit and IT disciplines, Mr Beaglehole has worked variously for Ernst & Young, KPMG and New Zealand’s Inland Revenue Department. Mr Beaglehole’s background encompasses insurance, enterprise risk, governance and assurance along with forensic IT and security.
Mr Beaglehole holds a Bachelor of Arts (History and Economic History) from Victoria University in NZ. His professional memberships include IIA, RMIA, Institute of Internal Auditors, and graduate membership of Australian Institute of Company Directors. |

Andrew Gray, Group Financial Controller
Mr Gray joined BBI in November 2005. In this role he is responsible for all facets of BBI’s financial reporting. A key part of the role is the integration of the assets acquired during the year from a financial perspective.
Prior to joining BBI, Mr Gray was employed with the international accounting firm Deloitte Touche Tohmatsu where he was a Client Director in the Assurance and Advisory division. Mr Gray was with Deloitte for 10 years including two years on secondment to the UK. Whilst with Deloitte, Mr Gray specialised in the infrastructure, tourism and consumer goods sectors.
Mr Gray has a Bachelor of Business (International Trade) from Monash University, a Graduate Diploma in Commerce from UNSW and is a member of the Institute of Chartered Accountants in Australia. |

Eric Kolatchew, Group Project Director and CEO of DBCT
Mr Kolatchew joined Prime Infrastructure in November 2004. From 1 July 2005, Mr Kolatchew was re-employed by BBIM and remains in the role of Group Project Director under the management agreements between BBI and BBIM. Mr Kolatchew was appointed Acting CEO of DBCT in January 2008, an appointment that was made permanent in December 2008.
Mr Kolatchew is one of Australia’s leading project directors with a wealth of experience working on some of the largest industrial projects undertaken in the country. He has taken charge of BBI’s DBCT expansion and the major asset expansions for the portfolio.
Mr Kolatchew holds a Bachelor of Engineering (Mechanical) with honours from the University of Newcastle and is a member of the Institute of Engineers Australia, and a Registered Professional Engineer for Queensland. |

Helen Liossis, Investor Relations Manager
Ms Liossis was appointed Investor Relations Manager of BBI in July 2006. In this role she supports the CEO, Jeff Kendrew, and is responsible for managing all external communications to the media and investment community.
Prior to joining BBI, Ms Liossis was Group Strategy and Analysis Manager for Telstra, Technology, Innovation and Product. While at Telstra, Ms Liossis also held various senior management roles in strategy, planning and investor relations. Prior to Telstra, Ms Liossis spent seven years at Coca-Cola Amatil in senior finance roles and led various financial projects in Indonesia, Ukraine, Switzerland, Fiji, Australia and New Zealand.
Ms Liossis holds a Bachelor of Business from UTS and an MBA from Macquarie Graduate School of Management. Ms Liossis has been a CPA (associate) member since 1988, is a member of Australian Institute of Company Directors and is a Justice of the Peace. |

Chris McLean, Tax Manager
Mr McLean joined BBI as Tax Manager in September 2006. In this role he is responsible for implementing taxation strategy and managing taxation risk for BBI and its global subsidiaries.
Prior to joining BBI, Mr McLean was a Senior Taxation Manager with Ernst & Young, having worked in various finance roles for Ernst & Young and its predecessor firms in Australia for eight years.
Mr McLean also worked with Société Générale, London branch within the investment banking division for two years. His professional advisory experience specialises in cross-border financing and acquisitions, capital markets and infrastructure privatisations.
Mr McLean holds a Masters of Taxation (ATAX), a Bachelor of Business (Accounting) and Bachelor of Laws with honours from Queensland University of Technology, and a Graduate Diploma in Applied Finance and Investment from FINSIA. |

Adriaan van Jaarsveldt, General Manager Regulation
Mr van Jaarsveldt was appointed General Manager Regulation of BBI in December 2006. He is responsible for regulatory strategy and the management of regulatory risk across the Group.
Prior to joining BBI, Mr van Jaarsveldt was Managing Director of Global & Corporate and held senior positions at Ernst & Young and KPMG in Australia and the UK. In these roles he provided strategic, regulatory, policy, economic and financial advice on restructures, privatisations and other transactions in the energy, water and transport sectors. He has worked on projects in Australia, Cambodia, Fiji, the UK, Russia, Ukraine, India, the USA, South Africa and Zambia.
Mr van Jaarsveldt holds a Bachelor of Commerce from the University of Johannesburg with honours gained at the University of South Africa. He is a member of the Australian Institute of Chartered Accountants and Australian Institute of Company Directors. |

Stewart Upson, General Manager Business Development
Mr Upson was appointed General Manager Business Development of BBI in December 2008. In this role he is responsible for corporate transactions and strategic planning processes, including new revenue generation initiatives for assets within BBI’s portfolio.
Mr Upson was previously employed in the infrastructure origination group at Babcock & Brown and prior to that was BBI’s Group Treasurer, joining BBI from Powerco in 2005 where he was Treasurer. Mr Upson also worked with Deloitte, Auckland Branch within the Corporate Finance division for two years, specialising in valuation, transaction support and capital structure advisory.
Mr Upson holds a Bachelor of Commerce with first class honours in finance from the University of Auckland. Mr Upson is a CFA charterholder and has been a member of the CFA Institute since 2001. |

Anthony Vaughan, General Manager Asset Planning
Mr Vaughan was appointed General Manager Asset Planning of BBI in July 2007. He is responsible for monitoring and reviewing the asset planning processes of BBI subsidiaries.
Prior to joining BBI, Mr Vaughan spent eight years in the energy industry with AGL, Agility and Alinta in a number of senior engineering asset management roles. The assets managed included gas transmission, gas distribution and power generation across Australia. Mr Vaughan also spent 15 years in the coal mining industry with senior operational roles in both open cut and underground coalmines for BHP and Shell in the Bowen Basin of Central Queensland.
Mr Vaughan holds a Bachelor of Engineering (Mechanical) from Queensland Institute of Technology and a Graduate Diploma and a Masters in Maintenance Management from Central Queensland University. He is a Certified Professional Engineer with the Institute of Engineers, Australia and a member of Asset Management Council. |

Dare Whalley, Group Treasurer
Mr Whalley joined Babcock & Brown in June 2006 as Treasurer – Specialised Funds, before moving into the role of Group Treasurer, BBI in February 2007.
Prior to joining Babcock & Brown, Mr Whalley was a Director at UBS Debt Capital Markets and was employed at ANZ Banking Group, where he was responsible for senior client coverage in the utilities and infrastructure sectors in NSW, QLD and the ACT. Prior to that role, Mr Whalley spent seven and a half years with TXU Australia and has also worked at Portfolio Partners and Cuscal Limited. During a 19 year career in finance, Mr Whalley has accumulated extensive experience in asset and liability management, corporate finance, domestic and offshore debt capital markets and institutional banking.
Mr Whalley has a Master of Applied Finance from Macquarie University and a Bachelor of Business (Economics and Finance) with distinction from RMIT University. |
